GENERAL

DION offers equity, equity derivatives, mutual fund and related products in both online and offline mode. DION offers commodities broking and related products, also in online and offline mode.

This document contains important information regarding terms and conditions which are applicable toyou’re your registration with ATS, as the case may be. You are requested to read this document carefully. This document is subject to change without prior notice and your client’s continued usage of DION products will be deemed to be his/her/its acceptance of such changed terms and conditions.

OPENING OF ACCOUNT FOR EQUITY, EQUITY DERIATIVES, CURRENCY DERIVATIVES AND RELATED PRODUCTS

To trade through DION on the stock exchanges (BSE and NSE),, you require would need to open a trading account with ATS, by submitting the duly filled necessary forms and submitting the necessary prescribed documents. You would also need to have a demat account with any of the depository participants and provide us with the details of the said demat account. DION has a tie-up with Bank of India Shareholding (BOISL) for opening of demat account and you can open a demat account with BOISL through us. DION reserves the right to either accept or reject an application for registration on any grounds whatsoever.

You agree that at the time of opening of account, you have received, read, have been explained and understood ATS’s policies & procedures. You also confirm having received a copy of the KYC documents and the documents named “Rights and Obligations of Stock Brokers, Sub-brokers and Clients” “Internet & Wireless based trading facility provided by stock brokers to clients”, “ Risk Disclosure Document for Capital Market and Derivatives Segments”, “Guidance note - Do’s and Don’ts for trading on the Exchange (s) for investors”. You agree that you are fully responsible for the transactions in your account and your investment decisions, irrespective of any advice that may have been given by DION in this respect. DION and its officers, directors, employees, agents and affiliates will have no liability with respect to transactions in your account and your investment decisions.

SPECIFIC TRANSACTION RELATED TERMS AND CONDITIONS

You agree that all transactions in your account are subject to the applicable laws in force, and subject to the Rules, Bye-laws or Regulations of the concerned Exchange and/or Depository, in which the transaction has taken place as well as the applicable regulatory provisions issued by the Securities and Exchange Board of India (SEBI).

You agree that Brokerage and other charges will be charged to you as per DION tariff plan in force, from time to time. In case of any revision in brokerage structure, the same will be intimated to you either by sms/e-mail on your registered mobile/e-mail or by displaying the same on DION website. The same will be deemed to have been accepted by you, in the absence of any written communication to the contrary from you.

On any transaction being entered into by you, DION will effect the necessary entries in your ledger account maintained for the purpose and give necessary instructions to the Depository Participant (DP) where you have your demat account for debiting/crediting the said demat account. The settlement of funds and securities will be done as per the Exchange prescribed provisions and as per DION policies and procedures in this respect. In case you fail to make payment towards your purchases/clear the debit balance in your ledger account, DION reserves the right to square off your outstanding positions/liquidate the client’s holdings.

In your own interests, you agree to register your mobile number and e-mail id for receiving alerts from the concerned Exchange as well as DION on your registered mobile number and e-mail id. In case you desire to have contract note in physical form also, you would be charged extra towards postage and courier charges.

OPENING OF ACCOUNT FOR COMMODITY BROKING AND RELATED PRODUCTS

To trade through DION on the commodity exchanges (MCX), you require open a account with DION by submitting the duly filled necessary forms and submitting the necessary prescribed documents. DION reserves the right to either accept or reject an application for registration on any grounds whatsoever.

You agree that at the time of opening of account, you have read, have been explained and understood ATS’s policies & procedures, and have received, read and understood the “Rights and Obligations “Internet & Wireless based trading facility related clauses”, “ Risk Disclosure Document , “Guidance note - Do’s and Don’ts for clients. You also confirm having received a copy of the KYC documents. You agree that you are fully responsible for the transactions in your account and your investment decisions, irrespective of any advice that may have been given by DION in this respect. DION and its officers, directors, employees, agents and affiliates will have no liability with respect to transactions in your account and your investment decisions.

WARRANTIES GOVERNING THE USE OF ATS’ S WEBSITE (herein after referred to as “website”)

You acknowledge that DION do not warrant that your access to the URL provided for the purpose and/or related services will be uninterrupted or error-free, that defects will be corrected, or that this site or the server provided herein is free of viruses or other harmful components. Access to and use of the website and the information provided therein is at your own risk and DION do not undertake any accountability for any irregularities, viruses or damage to any computer that results from accessing, availing or downloading of any information from the website. DION do not warrant or make any representations regarding the use of or any consequences resulting from the use of this product and/or service related to the said product, purchased in terms of its compatibility, correctness, accuracy, and reliability or otherwise. You assume total responsibility and risk for your use of this URL and all related services.

You agrees that DION and/or its directors, officers, employees, associates, consultants or other representatives shall not be responsible or liable for any direct, indirect, incidental, consequential, special, exemplary, punitive or any other damages (including without limitation loss of profits, loss or corruption of data, loss of goodwill, work stoppage, computer failure or malfunction, or interruption of business) under any contract, negligence, strict liability or any other theory arising out of or relating in any way with the use of the website or in reliance of the information available on the website/related services.

DION track your activities on the Websites including your trading/investment patterns to determine your credits/trading limits and for security/other concerns. You consent to such monitoring and agrees that it is not prejudicial to your privacy. Further, you agree that DION can use this information in any manner as it deems fit.

SOFTWARE AVAILABLE ON THE WEBSITES

Software (if any) available to download from the Websites, excluding software that may be made available by end-users through a Communication Service ("Software"), may be downloaded by you, only after reading the terms and conditions of use, as prescribed by the respective software developer. You alone are responsible to ensure that any software you download is as per the terms and conditions for download of the said software and DION cannot be held liable/responsible for any breach/damage arising out of such download/use.

PERSONAL AND NON-COMMERCIAL USE LIMITATION OF THE WEBSITE

You shall use the concerned Website in good faith and for the essential purpose for which the Websites are intended. Unless otherwise specified, the Websites are for your personal and non-commercial use. You shall not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative work from, transfer, or sell any information, software, products or services obtained from the Websites.

NO UNLAWFUL OR PROHIBITED USE

As a condition for your use of the website, you guarantee DION that you will not use the website for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

TERMINATION/ACCESS RESTRICTION

DION reserves the right, in its sole discretion, to terminate your access to any or all the Websites related to your use of their services.

These Terms and Conditions of Use are governed by the laws of India, and more specifically as per the regulatory provisions of the concerned exchange. Use of the Website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and DION as a result of the aforesaid terms and conditions and/or use of the Website providing ATS’s products.

If any part of these terms and conditions is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the terms and conditions of use shall continue in effect.

Unless otherwise specified herein, this document constitutes the entire terms and conditions of use with respect to this product and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and DION with respect to the product.
